  1. A one-tier Joint Stock Company: Needs a pre-elected Board of Directors prior to incorporation
  2. A two-tier Joint Stock Company: Prior to the company’s incorporation it needs a pre-elected Supervisory Board with a minimum of native/foreign 3 directors and 3 shareholders

 

Starting A Macedonia Limited Liability Partnership Company – Komanditno Drustvo (KD)
Limited Liabilty partnership companies in Macedona requires that its company management is a managed with a minimum of two national/international nationality partners. One must be a limited partner, the other a general partner. Like D.O.O, unless a Limited Liability Partnership has annual sales over €170,000 it will not need an annual audit. A minimum paid-up capital of €1 is required for company incorporation.

Step by Step

The preparation
Preparation work for all documentation, prepare company name, corporate structure including name and responsibility of directors and shareholders making copies of passports is needed before going to the register.

  1. Copies of the passport or national Macedonian ID card are taken.
  2. A contract establishing the company is created.
  3. A company manager must be appointed.
  4. Supervisory board members appointed.

  2. Statement of Article 32 of Company Law detailing incorporation, statutory amendments and transformation
  3. Company name reserved and registered with the Central Register of Macedonia

There are 14 private banks in Macedonia and three saving account houses. The three largest bank are Komercijalna Banka, Stopanska Banka Skopje, and NLB Bank. As a general rule limited company businesses favour Pro Credit and Tutunska banks.
